Listing Agreement

Upon submitting a Listing Application, you agree to be bound by the terms and conditions outlined below.

New listing applications will take up to 7 days to be approved.

Your warranties to us:

1. Accurate Information
You warrant that all information provided by you in the Listing Application Form, the Professional Profile Instruction Form and all other communications to us contains accurate and current information without omissions of necessary information. By displaying procedures on your listing, you warrant that you are qualified and experienced in performing such procedures.

2. Current Information
You must notify us of any changes to your profile information immediately so that we can make the appropriate changes to your listing.

3. Client photographs – Consent
If you submit client before and after photos for your profile, you warrant that you have obtained your client’s consent to upload and display same for the purposes of advertising and promoting your clinic over the internet.

Writing Articles

You may submit an article on any field or procedure relating to this website to establish yourself as an authority on our site. Your article will list your name with a link to your profile.
You must not use or breach any third party’s copyright or other intellectual property in your article and you indemnify us in this regard. You assign all rights to your written articles and related content to us. If you cease to be a member or you do not renew your listing, then you acknowledge and agree that your article(s) and related content will remain displayed on our website; however, any link to your profile will be removed from the article page.
Amending your profile

You may amend your information and profile at any time by emailing or posting us the details of your amendments.

Privacy

The Privacy Policy is incorporated into this Listing Agreement.

Website Terms of Use

You agree to be bound by the website Terms of Use, which are incorporated into this Listing Agreement.

Compliance with Laws

You must comply with all laws in respect of using this website, viewing its content and when purchasing listing services from us. It is your responsibility to investigate whether and what information you may lawfully advertise on our website. In particular you must comply with all medical advertising laws including but not limited to the Trade Practices Act, State Fair Trading laws, State Medical Board guidelines and guidelines and rules of professional associations or societies of which you are a Member or Fellow. You must not post any misleading, deceptive or defamatory content to our website.

Breach

We may in our sole discretion suspend, terminate or amend your membership and/or listing without refund or refuse to sell our services to you if in our absolute discretion we suspect that you have engaged in fraudulent activity in connection with our Website or if you have breached the terms and conditions of the Listing Agreement or any applicable law or if you have participated in conduct that is harmful to the interests of Accredited Surgeons or its employees, agents or affiliates. The rights in this clause do not limit any other remedies available to us at law, in equity or under these terms and conditions.

Warranties & Limitation of Liability

You agree that we do not make any and exclude to the fullest extent permitted by law all warranties whether express or implied including but not limited to any warranties as to quality, safety, merchantability or fitness for a particular purpose.

Where any warranty or condition cannot be excluded our liability for breach of such warranty or condition is limited to either of the following:

    * replacing the service;

    * crediting the cost of the service to you.

To the fullest extent possible, we exclude all liability in relation to your purchase of any listing on the website including but not limited to all liability whether in tort or contract or otherwise for any damages, any exemplary, special or consequential damage or losses, costs, expenses, claims in respect of economic loss, loss of profits, any loss or damage to property or death or injury to any person of whatever nature and however or wherever sustained.

You acknowledge that the sole purpose of the website is to provide a directory of qualified plastic, reconstructive and cosmetic surgeons and cosmetic doctors and physicians. You assume all risk and liability of using our listing services. All listings sold through our website are intended to be used for listing purposes only. We do not provide any marketing or promotional services and accordingly we do not make any warranty or promise as to increased interest, awareness or sales for your business.

Listing Fees

We reserve the right to charge listing fees for any listing products. If we decide to take up this right, you will be notified and will have the option of cancelling your profile.

Indemnity

You agree to indemnify and forever hold Accredited Surgeons, its related companies, officers, directors, agents, employees and affiliates harmless from and against liability for any claims, demands or proceedings for losses, damages, expenses and costs, including legal costs on an indemnity basis, made by you or by any third party due to or arising out of your breach of the Listing Agreement or any applicable law or your use of the Website.

No Agency etc
No agency, partnership, joint venture, employee-employer, affiliate or franchisor-franchisee relationship is entered into or created by this Listing Agreement between you and us.

Assignment
We may assign our rights to this Listing Agreement at our absolute discretion without giving any notice.

Entire Agreement
These terms and conditions comprise the entire agreement between you and us. You agree that you have not relied on any prior representations, statements, claims or agreements not contained in these terms and conditions.

Copyright
We own and reserve all rights to Copyright in this Website including all content, articles, text, graphics, photos (except your submitted profile information and photographs), logos, button icons, images and audio clips. Further, Accredited Surgeons and/or its software suppliers own all software used on the Website.

All such material and software is protected by domestic and international copyright laws. You may only use this material for browsing on this Website and you are strictly prohibited from reproducing, adapting, modifying, distributing, transmitting, republishing, displaying or performing the content on the accreditedsurgeons.com.au website.

Access to the Website
Due to occasional upgrades and maintenance, we cannot guarantee 100% continuous, uninterrupted access to the Website.

Governing Law
The accreditedsurgeons.com.au Website is operated from, and these Terms and Conditions are governed by the laws of, Queensland, Australia. You fully and irrevocably submit to the exclusive jurisdiction of all courts located in Queensland, Australia.

Dispute Resolution
By using this website and its services, you agree to resolve any disputes with us by first contacting us via email. If you are not able to obtain resolution of your dispute via email, you agree that it will then be resolved by dispute resolution located in Queensland, Australia. Severability
If any provision of this agreement is void or voidable or unenforceable in accordance with its terms, but would not be void, voidable, unenforceable or illegal if it were read down and it is capable of being read down such provision shall be read down accordingly.

If, notwithstanding the above paragraph a provision is still void, voidable, unenforceable or illegal:

    * if the provision would not be void, voidable, unenforceable or illegal if a word or words were omitted, that word or those words are hereby severed; and

    * in any other case, the whole provision is hereby severed, and the remainder of this agreement shall be of full force and effect.

Waiver
The failure, delay or omission by us to exercise any power or right conferred upon us by these terms and conditions shall not operate as a waiver of such power or right, nor shall any single exercise of any such power or right preclude any other or future exercise of the power, or the exercise of any other power or right under these terms and conditions.

A waiver of any provision of these terms and conditions, or consent to any departure by a participant from any provision of these terms and conditions, must be in writing and signed by us and is effective only to the extent for which it is given.
Interpretation

Definitions:
“Listing” means any listing or profile on the accreditedsurgeons.com.au website.
“We/Us” means Accredited Surgeons.
”You” includes any persons who has, or has applied for, a listing on the accreditedsurgeons.com.au Website;
“Website” means the website being hosted under the domain name www.accreditedsurgeons.com.au

In these Terms and Conditions unless the context otherwise requires:

    * Words importing the singular or plural include the plural and singular respectively;

    * Words importing any gender include every gender;

    * Words denoting persons include bodies and corporations;

    * A reference to a party or parties means the named parties to this document and includes that party’s executors, administrators and permitted assigns, or if a company, its successors and permitted assigns;

    * Clause headings do not affect the interpretation of this document

    * Where a word or phrase is given a particular meaning in this document, other parts of speech and grammatical forms of that word or phrase have a corresponding meaning;

    * A reference to a clause is a reference to a clause of this document; and

    * Every agreement, covenant or undertaking expressed or implied by which more than one person is bound binds those persons and any two or more of them jointly and each of them severally.
